Refund & Cancellation Policy

EFFECTIVE DATE: JANUARY 21, 2020 • LAST REVISED: JANUARY 2026 • JURISDICTION: STATE OF WYOMING, USA

1. NATURE OF PROFESSIONAL SERVICES

surething LLC, operating under the commercial brand surething ("Company", "we", "us", or "our"), provides custom B2B software engineering, architectural consulting, systems development, and infrastructure retainers. Because our work involves custom code execution, dedicated senior engineering hours, and milestone-based intellectual property creation, standard consumer retail return policies do not apply.

2. MILESTONE ACCEPTANCE & APPROVAL

Projects structured around Statements of Work (SOW) are divided into clearly defined milestone phases.

  • Review Window: Upon delivery of each milestone release or source repository commit, Client has ten (10) business days ("Acceptance Period") to review, test, and request rectifications against the acceptance criteria defined in the SOW.
  • Milestone Sign-off: Written approval of a milestone, or payment of the milestone invoice, constitutes definitive acceptance of the completed work. Once a milestone is accepted and paid, the corresponding fees are non-refundable.
  • Defect Rectification: If Deliverables do not conform to SOW specifications during the Acceptance Period, surething LLC will rectify non-conforming items at no additional cost before requesting final milestone sign-off.

3. PROJECT CANCELLATION & TERMINATION

Either party may terminate an ongoing SOW by providing thirty (30) days written notice to the other party:

  • Prorated Compensation: Upon early termination by Client, surething LLC shall invoice Client for all work completed up to the effective termination date on a prorated basis or time-and-materials calculation.
  • Code Handoff: All source code, assets, and documentation completed and paid for up to the date of termination shall be delivered to Client immediately.
  • Advance Deposits: Any unearned portion of an upfront project retainer or mobilization deposit that exceeds accrued engineering time and incurred vendor costs will be refunded to Client within thirty (30) calendar days via original payment method.

4. MONTHLY RETAINERS & SUBSCRIPTION SERVICES

For ongoing DevOps, maintenance, or engineering retainers, subscriptions renew on a monthly basis. Client may cancel recurring retainers at any time with fifteen (15) days written notice before the next billing cycle. Retainer payments already processed for an active calendar month are non-refundable, and service continues through the end of the paid cycle.

5. DISPUTE RESOLUTION & CHARGEBACK PREVENTION

We are committed to fair and transparent business practices. Before initiating a merchant chargeback or formal dispute through a card issuer or banking institution, Client agrees to contact our billing team at hello@surething.dev to resolve the matter in good faith within fifteen (15) business days.
